    Very small dividend but it could be a signal of better things to come which will cause stock price to rise

    I just got an offer to sell by dutch auction. I assume the buyer to be Barings. I declined the offer for the following reasons.
    a. The new loan portfolio for BBDC should be much more solid than TCAP.
    b. Barings will have skin in the game to the tune of 17% of the new float or $50M worth by the auction
    c. If Barings if offering $10.20-11.72/share, than we should expect some higher price in the future (they are not buying to plan a loss).
    d. What they plan in the future no one knows. However, you can bet your bottom dollar that they have ideas to prop up the price for a secondary at some point in time. This will give them more $$ to manage and higher fees. This is very common with mgmt outfits.
    e. If all or any of the above holds than common sense tells me that I should wait and unload when they are ready to make a move to enhance their position.

    People need to read carefully if you sell you will not get the 1.78 dividend

    I received an autoimated telephone call from Ashton Poole, CEO of TCAP asking me to vote in favor of the deal. In the message he said that TCAP holders would receive a payment of $1.78 in ADDITION to the "normal trading value" of the shares. Does this mean that the $1.78 is coming from Barings and will not "go x-dividend" with the $1.78 being deducted from the shares? I have never experienced a situation like this in 25 years in the market.
