    Community Bank System, Inc. (“Community Bank System”) (CBU), the parent company of Community Bank, N.A., announced today that it completed its merger with Kinderhook Bank Corp. (“Kinderhook”) (NUBK) and its banking subsidiary, The National Union Bank of Kinderhook (“Kinderhook Bank”), on July 12, 2019. Community Bank System acquired Kinderhook in an all cash transaction representing total consideration valued at approximately $93.4 million. The merger added 11 branch locations across a five county area in the Capital District of Upstate New York.

    Community Bank System, Inc. Announces Stockholder and Regulatory Approvals Received for Kinderhook Bank Corp. Merger

    Community Bank System, Inc. (CBU) (the “Company”) announced that the Stockholders of Kinderhook Bank Corp. (“Kinderhook”), at its Special Stockholders Meeting held on April 23, 2019, overwhelmingly voted to approve the proposed merger of Kinderhook with the Company (the “Merger”). Kinderhook reported that more than 97% of the votes cast were voted to approve the Merger and that more than 85% of issued and outstanding shares were represented at the Special Meeting.
