CLS Holdings USA, Inc. Contributes to Reforestation of Chattahoochee-Oconee National Forest

LAS VEGAS, NV / ACCESSWIRE / December 22, 2020 / CLS Holdings USA, Inc. (OTCQB:CLSH)(CSE:CLSH), the ''Company'' or ''CLS'', a diversified cannabis company operating as Cannabis Life Sciences, today announced the impact of its latest contributions to the Arbor Day Foundation. Through the combined effort of 20 participating companies, 115,386 trees were planted in the Chattahoochee-Oconee National Forest in Georgia. CLS' contribution to this total was driven by its subsidiary, City Trees', Buy 1 Plant 1 campaign, wherein every 1:1 THC:CBD product sold is accompanied by a donation to the Arbor Day Foundation.

With the number of trees planted through this latest combined effort, over 258,000 metric tons of carbon dioxide will be sequestered - the equivalent of taking 55,840 cars off the road for one year. CLS is proud to have contributed to this total, and anticipates continued growth of this contribution in 2021.

Alongside its Buy 1 Plant 1 initiative, City Trees has also taken recent steps to further reduce its environmental impact. At the outset of its rebranding effort in September, the brand transitioned to packaging made with primarily recyclable materials, recognizing the excess waste generated in the cannabis industry due to regulatory requirements. In December, this effort was bolstered by the brand's transition to packaging approximately 15% smaller than its latest redesign. City Trees' commitment to sustainability and quality has further cemented their position in Nevada as an industry leader and innovator.

CLS Holdings USA, Inc. Reports Record March Financial Results As Nevada Tourism Begins Recovery

LAS VEGAS, NV / ACCESSWIRE / April 13, 2021 / CLS Holdings USA, Inc. (OTCQB:CLSH)(CSE:CLSH), the ''Company'' or ''CLS'', a diversified cannabis company operating as Cannabis Life Sciences, today announced the financial and operational results for its Nevada wholly owned subsidiaries for the month of March 2021 with net revenues of over $2M for the first time in the Company's history, and a Gross Margin of 48%. These results represent the highest single-month revenue total to date, with marked increases in revenue at both the retail and wholesale level. This total represents a 92% increase in revenue over March 2020, and an 89.4% increase in revenue over March 2019. The Company achieved this historic increase in net revenue while also improving Gross Margin, which was 45% for March 2020 and 37% for March 2019.

CLS Nevada March 2021 Financial and Operational Highlights

Retail subsidiary, Oasis Cannabis, achieved a 100.3% increase in net revenue year-over-year, alongside a 51.2% increase in the number of transactions and a 31.2% increase in average order size.
Branded wholesale division, City Trees, recorded a 70.5% increase in year-over-year net revenue and its highest volume of wholesale orders to date.
The number of orders placed through City Trees increased by 150% compared to March 2020.

The Company's Nevada retail and wholesale subsidiaries both achieved their highest revenue month to date in March 2021. At the Company's dispensary, Oasis Cannabis, net revenue increased by more than 100% year over year. While the economic effects of COVID-19 impacted the Company more directly in March 2020, and contributed to notably lower revenue for the month, results in March 2021 outpaced the store's trajectory without this factor. This achievement was driven by a 51.2% increase in the number of transactions processed and a 31.2% increase in average order size as new modes of service introduced in 2020, including curbside and expanded delivery, became more efficient. Construction also began on a new express in-store pickup window, slated to become fully operational in April to increase the flow of traffic through the dispensary. Oasis achieved both its highest and second highest total sales days in March, reaching over $90,358 and $90,215 respectively.

"Vegas is beginning to feel like Vegas again," noted Company President and COO Andrew Glashow. "We are still operating under many of the constraints mandated last year, but our team has become more efficient with these processes, allowing us to dramatically increase revenue in spite of these restrictions. Seeing that we can perform at this level given these limitations leaves us beyond excited to see what we can accomplish when we're able to return to 24 hour service and higher in-store capacity. Our team has a lot to be proud of."

In its advertising for the dispensary, Oasis has begun releasing a series of employee features, including new billboard designs, social media highlights, interviews with team members featured on the store's website, and a series of videos. This campaign, encompassed by the message ‘Real People, Real Cannabis', was created to show genuine appreciation for the Company's dedicated team members who persevered through the previous year of challenges. Interested parties can watch this video series by clicking the link here.

At the Company's wholesale division, City Trees, the brand also achieved its highest revenue month, with a 150% increase in the number of orders compared to March 2020, and a 23.2% increase in orders over February 2021. The total revenue for the brand in March 2021 was $502,140. Not included in the brand's March revenue was a backlog of additional orders to be delivered in April driven by rapidly increasing demand for the brand's products. With five new product formulations introduced in February, retail sell-through of these products has increased. Along with new products in its vape line, City Trees released a new limited edition live resin concentrate, Glow, to mark Earth Hour - an annual event created to drive awareness of environmental issues facing the planet. In total, Oasis Cannabis sold 3,664 units of City Trees live resin concentrate in March, beating the dispensary's previous record number of live resin concentrate sold in one month by 56.6%. As Las Vegas begins to return to pre-pandemic levels of tourism and activity, the Company is confident that its foothold among local consumers with its brands and retail platform will maintain these high levels of performance going forward.

CLS Holdings USA, Inc. Outpaces Statewide Market Growth with Category Leadership

LAS VEGAS, NV / ACCESSWIRE / November 17, 2020 / CLS Holdings USA, Inc. (OTCQB:CLSH) (CSE:CLSH), the ''Company'' or ''CLS'', a diversified cannabis company operating as Cannabis Life Sciences, continues to grow its foothold in Nevada, with recent data listing its manufacturing division, City Trees, as the top selling brand in select product categories. With the completion of its September rebrand, this division is poised for continued growth and innovation through the remainder of the year. CLS entities overall also outpaced the growth of the Nevada cannabis market in September. Statewide cannabis industry revenue growth reached a year over year increase of 43% for the month, while CLS' net revenue grew by 70.3%.

    A Category and Industry Leader

According to figures generated by BDS Analytics, CLS' branded division, City Trees, produced the top-selling products in the tincture product subcategory in Nevada from January through September 2020. With a total of 37,142 units sold, these products generated over $1.7 million dollars in sales - approximately 44% more than the second best-selling brand in the subcategory. Of the top 10 products sold in the tincture subcategory in 2020 through September, 4 were produced by City Trees. Of the $7.7 million tincture market in Nevada through September 2020, encompassing 34 different brands, City Trees held an average market share of 22.4%. Although flower and concentrate categories represented a majority of the overall cannabis market in Nevada in 2020, innovative product development and clean, modern branding have propelled this division and opened the door for category expansion for the Company.

As a result of continued development and innovation in the ingestible category, City Trees is rising in Nevada's vape category. In the first three quarters of 2020, the brand has risen from the 7th to the 5th highest selling brand, with the greatest improvement occurring in the third quarter. In the ‘dabbable concentrate' product subcategory, unit sales rose by over 115% during the third quarter of 2020 compared to the same quarter in 2019. With a focus on quality, sustainability, and innovation, City Trees is showing brand growth across all of the products categories in which it currently operates. This division's growth is further driven by the expansion and utilization of its expanded and enhanced extraction and innovation facility, allowing for a variety of anticipated collaboration projects, new product launches, and growing capacity for extraction and toll processing.

The Company's combined retail and wholesale divisions outpaced the year over year growth of the Nevada cannabis market for September, with the state seeing a 43% revenue increase from September 2019 to September 2020, and CLS entities achieving a 70.3% revenue increase for the same periods. Month over month from August to September 2020, the Nevada cannabis market declined by 1% while CLS' entities increased revenue by 21.2%. These results are a testament to the measured, strategic approach the Company has taken to growing its businesses in ways that ensure the safety and comfort of its customers and employees while capturing new revenue streams that coincide with new market norms.

"This first month of our fiscal year was full of incredible opportunities for our company's growth," noted Company President & COO Andrew Glashow. "Oasis is buzzing with consistent local and tourist traffic, and our City Trees brand has maintained huge year-over-year sales increases each month for the last year. We're optimistic that our successes with City Trees and Oasis will enable us to grow our portfolio of brands significantly over the coming months."

Retail dispensary Oasis Cannabis achieved a 48.9% year-over-year increase in revenue with a 36.8% increase in the number of transactions and 8.8% increase in average ticket total. June results also represented an 86.1% increase in net revenue compared in June 2019. In a foot traffic survey conducted in June 2021, approximately 80% of Oasis customers were reported as local consumers, with 20% of traffic being attributed to out-of-state tourists. These results indicate an approximate 10% increase in the number of tourists visiting the dispensary as compared to June 2020 estimates. The retail storefront continues to be a mainstay among Las Vegas local consumers.

The Company's branded division, City Trees, continued to see monumental growth year-over-year. In June 2021, the division saw a monthly year-over-year revenue increase of 110.7%. In June 2021, the brand also announced its endorsement, to the extent permissible by Nevada law, of UFC welterweight fighter, Sasha Palatnikov, in the wake of the organization loosening its restriction on fighters' use of cannabis products. This endorsement has since been bolstered by the Nevada State Athletic Commission's July decision not to enforce restrictions on cannabis use by fighters. As market interest continues to increase for both the City Trees brand and the toll-processing capabilities of the Company's North Las Vegas extraction and conversion facility, CLS is continuing to pave the way for its future growth and execution of its business plan.

CLS Holdings Announces March Financial Results and Momentous Sales Performance Amidst COVID-19 Business Restrictions

LAS VEGAS, NV / ACCESSWIRE / April 21, 2020 / CLS Holdings USA, Inc. (OTCQB:CLSH)(CSE:CLSH) ("CLS" or the ''Company''), a diversified cannabis company operating as Cannabis Life Sciences, announced today its March 2020 revenue of $1.063 compared to March 2019 revenue of $1.068 million. Gross margin for March 2020 was $500,000 compared to $392,000 in March of 2019, an increase of 27%.

"Our Oasis retail operations saw a 27% increase in customers served from 12,937 in March of 2019 to 16,435 in March of 2020, despite state-wide restrictions on business and tourism due to the outbreak of COVID-19. Our retail dispensary was closed following a March 20th state mandate, and thereafter all retail operations were suspended for 3 days while we successfully transitioned to a delivery-only platform that is now executing at a high level and fulfilling upwards of 95% of orders on a "same day" basis", said Andrew Glashow President/COO"..

Oasis has streamlined operations by developing a driver delivery model that is maximizing retail efficiency. Oasis is receiving an average of 350 orders per day and has seen average order size of approximately $80, an increase of 2 times our average in-store order in February of 2020. Retail operations are now operating 14 hours a day versus the pre-COVID-19 24 hours a day,

"CLS' March performance would not have been possible without our dedicated staff who have helped successfully pivot our business to accommodate for these unprecedented restrictions," said Jeff Binder, Chairman/CEO ."We recognize that it is a privilege to operate as an essential business during this crisis, and our team will continue our quest to remain the locals' choice by making active efforts to stimulate the local economy and provide outstanding medicine and service every day."

CLS' wholesale and branded products City Trees division is now producing all its products from its new state of the art manufacturing facility in North Las Vegas. This is an exciting development that allows City Trees to produce our high quality, safe, independently tested branded products cost effectively. Having control over manufacturing provides us with the opportunity to make products to order and develop new unique offerings. We look forward to sharing our first new internally developed products very soon.

The operational disruptions caused by the pandemic have created logistical issues for many of our City Trees customers. We have a high degree of respect for the decisions these operators have made in the interest of employee and customer safety. As a result, we have experienced a decline in City Trees' revenue but this slowdown has allowed us to create some exciting synergies with our Oasis retail operations. We look forward to the day when the COVID-19 restrictions are lifted, and we can show off our new products and environmentally friendly packaging to our wholesale customers.

CLS Holdings USA, Inc. Announces Second Quarter Fiscal 2021 Results

LAS VEGAS, NV / ACCESSWIRE / January 13, 2021 / CLS Holdings USA, Inc. (OTCQB:CLSH), (CSE:CLSH) ("CLS" or the ‘‘Company''), a diversified cannabis company operating as Cannabis Life Sciences, today announced its operational and financial results for the second quarter of fiscal 2021, ended November 30, 2020. The Company experienced its highest revenue month in this period, setting historic company records for revenue and gross margin. Despite anticipated seasonal slow-down and continued depressed tourism in Nevada, CLS entities in the state maintained high sales volumes with aggressive promotions that effectively served the local community in an economically challenged market.

    Key Q2 Financial Accomplishments

Total revenues were $4,907,889 compared to $3,056,431 reported in the same quarter in 2019, representing an increase of over 61%, and a 29.8% increase over the first fiscal quarter of 2021.
Gross margin increased to 55% - an increase of 7% over the quarter ended November 30, 2019.
CLS manufacturing division, City Trees, achieved a 58% increase in year-over-year quarterly revenue through a successful rebrand, a newly curated product catalog, and reinvigorated sales efforts.
Retail division, Oasis Cannabis, continued to see significant in-store, delivery, and curbside traffic that drove a 22.1% increase in the average daily revenue total and a 7.6% year-over-year increase in the total number of customers served.
The average transaction total at Oasis Cannabis rose 13.4% year-over-year, from $49.39 in the second quarter of fiscal 2020 to $56.02 in the comparable quarter of fiscal 2021.
    Operational Highlights

CLS entities in Nevada saw remarkable progress across all verticals in the second quarter, starting at the beginning of September with the successful rebrand of its branded product division, City Trees. Converting its packaging to more sustainable materials and refocusing its efforts on producing high quality concentrates and other accessibly priced extraction products, the brand is progressively becoming a mainstay name in the Nevada cannabis market. Through the combined effect of its rebranding efforts, increased product assortment, and reinvigorated sales efforts, this division achieved a 58% increase year-over-year quarterly revenue. This improvement was further impacted by the release of City Trees' new website, which provides indirect e-commerce opportunities and more in-depth informational content, including material surrounding its sustainability initiatives. With its Buy 1 Plant 1 campaign, City Trees contributed, alongside 19 other companies, in planting over 115,000 trees in 2020.

City Trees also released a limited edition collaboration product with regional cultivator, State Flower, in November. This concentrate product represented the first co-branded product produced by this division as the brand continues to build notoriety as a craft concentrate producer in Nevada. The first batch of this limited run product sold out at the Company's storefront, Oasis Cannabis, in one week. Further, City Trees also produced the highest selling tincture product in the state of Nevada in 2020, a trend that continued through the second fiscal quarter of 2021.

CLS retail operation, Oasis Cannabis Dispensary, saw its highest revenue month to date in this quarter, achieving over $1.4 million in net revenue in October 2020. Total CLS revenue for October reached over $1.78 million - a 74.2% increase over October 2019. In September, Oasis unveiled its new wall of on-site billboards, presenting a uniquely targeted opportunity for advertising material for CLS subsidiaries and third party vendor partners. In this quarter, Oasis Cannabis also saw a 13.4% increase in the average dollar amount per transaction. While this division is still operating with significantly reduced in-store capacity and fewer daily operating hours, delivery and curbside services helped maintain a steady flow of orders through the dispensary. Oasis served an average of 732 customers per day in this quarter, up from an average of 680 customers per day for the same period in 2019. In this quarter, Oasis also achieved its highest single day revenue total, its highest revenue month, and a company record for Black Friday sales.

"We have a lot to be proud of from this last quarter. Beyond the revenue records that were yet again broken, and beyond the amazing research and development happening in our lab, we were most proud of our team that continues to serve Las Vegas through these challenging months" said Company President and COO, Andrew Glashow. "We have many exciting partnership opportunities and even more room to grow in 2021."

In addition to the improvements at the retail and brand level, CLS unveiled a new corporate website in the second quarter, adding its third new digital asset in the last 12 months.

CLS Holdings USA, Inc. 2020 Year in Review

LAS VEGAS, NV / ACCESSWIRE / December 29, 2020 / CLS Holdings USA, Inc. (OTCQB:CLSH)(CSE:CLSH):

    Adaptation

2020 has been a year that most of us will never forget. One wherein all of our choices mattered deeply, and had serious implications for those around us. We are incredibly proud of the progress the cannabis community has made over the last few years. In times of uncertainty and hardship, this industry has proven its place as an essential service and we're honored to do our part.

At CLS, we believe that all challenges are opportunities. We look back at March, when we had to pivot our retail division, Oasis Cannabis, to a delivery and curbside pick-up model. Our dedicated team made this transition swiftly and efficiently, with new business plans approved within 24 hours of the announcement of closures, and a return to operations within 48 hours. In the midst of these closures, we also completed the renovation and expansion of our extraction facility at City Trees.

This year, we achieved month after month of consistent record-setting revenue, driven by a 23.6% annual increase in the number of transactions processed at Oasis. At the same time, the average order amount increased by 26%. While we appreciate these achievements, our biggest accomplishment has been putting people before profits. We have been fortunate to be able to offer free testing for every CLS employee, whenever they need it. We took extra precautions, beyond what was dictated by the state, to make sure our guests felt comfortable and safe in our space. Beyond these immediate changes, we looked toward the long term challenges of our community and set aside 1% of net sales at Oasis during the summer to benefit those most harmed by the War on Drugs. Our employees are proud to work with us to deliver the best products at accessible prices to our community when so many members of our community are suffering. Our team didn't recoil at these times. We grew.

    Growth

Even in the face of a pandemic, our team banded together to accomplish our tasks at hand. With our new extraction facility completed, we set out to rebuild the City Trees brand with better products, a more curated menu, and a whole new look and feel. We successfully completed this rebranding effort in September, accompanied by the release of a limited edition range of products and new attractive, recyclable packaging. We also introduced a new website, and reinforced our commitment to sustainability. With our Buy 1 Plant 1 campaign, every 1:1 product purchased is accompanied by a donation to the Arbor Day Foundation that will plant 1 tree. Through the combined effort of 20 different companies across the country, over 115,000 trees were planted in the Chattahoochee-Oconee National Forest in Georgia. While we're happy to see our revenue grow, these results are only meaningful if we continue to have a habitable environment in which to enjoy them.

At our retail division, Oasis Cannabis, we saw how our local community embraced us. Month after month, our revenue continued to grow as more customers came through our door, ordered curbside and delivery from our new website.

In closing, we appreciate every hand that has lifted us up through this challenging year. Our team, for being our boots on the ground and serving our community, and you, for believing in our mission. Big things are on the horizon for 2021, and we can't wait to show you what's in store. From our entire CLS family, we wish everyone a healthy and happy holiday season. We remain optimistic.

#CLSH is hot once again after releasing news of 5 new vape blends, once again increasing its product line. With only $850,000 left to become net positive, the company is working hard to accomplish that goal. Today, #CLSH is up 20% on the OTC and up 40% on the CSE:
