Adapting a shareholder rights plan is usually a sign something is up and management is trying to protect their jobs. But I can not find any information as to what may be the reason for management to worry, except maybe the poor performance. Does anyone out there have any idea of what may be up.

i have watched this stock for years, but never owned it. Seems like just a proxy for owning crude oil almost. If crude is $100, they make a lot of money, if crude is $50, no one needs their services. Am I missing something? What are the chances that crude goes back to $100 and stays there?

I have been fan of Dawson and Jumper for many years, but looks like even with stabilizing oil prices, the market for seismic exploration will continue to be challenging. Jumper already alluded to others going out of business (and he snatched up their equipment at basement prices!) Dawson has a clean balance sheet and Jump has steered the company through lean times in the past, but maybe it is time to consider joining forces with others and or be acquired by a big player.

In over 25 years actively investing this board approved merger is most unusual . The board sold a company by forcing us into either giving up liquidity by holding or accepting the offer. By adhering to prior Precent and regulations management should have recused themselves as soon as Wilke?s offered them employment. Also, the board also should have hired an independent committee as they were offered board seats for new company. They have purchased two lines of equipment worth about $180 million new(250 channels at $240k and 120 at $1 million) Wilke?s received for free. The paid what the company had in cash and receivables. Also, the lack of information about how well the company was doing vanished the last two months. They did allude to the next two quarters being break even or positive but worries about thereafter. Really? Oil prices skyrocketing past 80, DUC#$%$ decade lows, financial companies beginning to lend, Canada expecting 33% growth in drilling, US double digit growth, small energy company stock prices soaring YTD.I was a very large shareholder but was forced to sell because the threat of losing my liquidity by Wilkie and Management directly would have dire consequences. We need answer by regulators about; when the were offered jobs, why board didn?t set up an independent committee and recuse themselves, what business was in pipeline, an outside valuation of assets, wilke?s affiliations.

Any thoughts on the proposed merger with Wilks Bros?
Seems several law firms are interested in looking into the agreement approved by the Board.

Top executives have apparently given up on conditions improving anytime soon for DWSN. I'm surprised that with a clean balance sheet and crude oil and natgas prices on the rise, they would be proposing to sell the company to Wilks for such a low price per share. As a shareholder, I'm very disappointed in this situation. Hopefully some of the other large shareholders will object to what seems to me to be a fire sale price.

Will this still trade as a separate company? Why is the price below the offer?

I see that Dawson received a $6M PPP loan. Pretty good for a company that was likely going belly up even before the virus hit. Thoughts?

So, I listened to the conference call today. Jumper seems like a straight shooter. They expect to stay in business, but in the current market, they have no idea when/if things will improve. Of course, if you wait until signs of improvement are visible, the share price will likely be above today's $1.30 or so. But, if things don't improve by the end of the year, questions about survival will rise again. I have enough risky specs now, so will just check back in here later in the year.
