Turtle Beach Corp will give three seats on its board to Donerail Group as part of a settlement with the activist investment firm and other shareholders, the video game products maker said on Monday. The panel would include two incumbent directors and two Donerail designees to oversee the process, the company said. One current Turtle Beach director will retire from the board, it added.
(Reuters) -Donerail Group is close to reaching a settlement with Turtle Beach Corp that will give the activist investment firm representatives on the U.S. gaming gear company's board of directors, people familiar with the matter said on Sunday. Donerail, which has beneficial ownership of 7.4% of Turtle Beach's outstanding shares, has criticized the maker of gaming headsets and controllers for operational missteps and has been pushing the company to sell itself. Turtle Beach maintains it has been doing its best to find a buyer at an attractive price.
Gaming equipment company Turtle Beach Corp on Thursday said it is exploring a sales process as it considers ways to maximize value for shareholders. In a letter to shareholders, the company said it has engaged with potential buyers on three separate occasions in the last five years and that it hired Bank of America last year to spearhead the process. The company said in its letter there is no guarantee that discussions will lead to a transaction.
