iHeartMedia, Inc. (IHRTQ) (“iHeartMedia”) today announced voting results for the Company’s Fifth Amended Joint Chapter 11 Plan of Reorganization (the “Plan”). Voting results indicate that every class of creditors entitled to vote has voted to approve the Plan. More than 90% of the votes cast by creditors and shareholders who participated in the vote approved the Plan, demonstrating substantial support for, and far exceeding the votes necessary to confirm, the Plan.
IHeartMedia Inc.’s bankruptcy-reorganization plan continues to face pushback from the U.S. Securities and Exchange Commission, the U.S. trustee and a group of longtime unsecured bondholders holding about $475 million in debt. The chapter 11 proceeding would slash about $10 billion in debt while handing over nearly all of the equity in a reorganized iHeart to a group of senior creditors led by Franklin Advisers Inc. On Wednesday, the SEC, the U.S. trustee and the group of unsecured legacy bondholders all filed papers in U.S. Bankruptcy Court in Houston asking the court to not confirm the proposed reorganization plan.

Inc., a radio-station operator that filed for bankruptcy in March, is seeking a judge’s approval for a bonus plan that could pay its top executives as much as $33 million next year. In papers filed Tuesday in U.S. Bankruptcy Court in Houston, iHeart lawyers said the bonuses — earmarked for 11 executives — are needed to motivate its top managers. Without the bonuses “in a highly competitive and challenging industry,” compensation for top executives would fall well below peer companies and that “could significantly undermine” iHeart’s ability to motivate senior management, court filings said.

Inc. has agreed to sweeten payments to a group of lower-ranking unsecured creditors to at least 45 cents on the dollar from less than 8 cents to win support for its reorganization plan from a key constituency. The broadcaster’s unsecured creditors committee has been fighting senior creditors for a bigger piece of iHeartMedia since it filed for chapter 11 bankruptcy reorganization in March. In a filing Wednesday in U.S. Bankruptcy Court in Houston, iHeartMedia said the committee is now backing its proposed balance-sheet restructuring and will drop various objections and legal efforts to fight it.
