    Linde passes important 50 percent threshold in Praxair tender

    German industrial gases group Linde has passed an important threshold in its exchange offer for the planned $80 billion merger with U.S. peer Praxair. Linde said on Friday that shareholders representing 50.85 percent of its capital have accepted the offer, as an Oct. 24 deadline approaches to reach 75 percent acceptance. Passing the 50 percent threshold paves the way for passive funds, such as exchanged-traded funds replicating Germany's blue chip DAX index, to also tender their shares.

    Industrial gases firms Air Products and Air Liquide may bid for parts of peers Linde and Praxair that the two groups may be forced to divest in the event of a merger, Frankfurter Allgemeine Zeitung reported on Friday. Linde and Praxair need to obtain anti-trust approval for their merger in 25 countries, for which they have said they were prepared to make divestments up to a "pain threshold" of $3.7 billion in sales beyond which the deal may no longer make sense.     UPDATE 1-Norway's $1 trillion wealth fund backs Linde-Praxair deal

    The proposed $74 billion tie-up of German industrial gases group Linde and U.S. peer Praxair got a boost on Tuesday when the world's biggest sovereign wealth fund said it was backing the deal. The Norwegian fund, which also said the value of its assets had topped $1 trillion, will vote in favour of four key resolutions proposed by Praxair's management at a Sept. 27 meeting of shareholders, it said. "We support the strategic rationale for the merger ... the proposed business combination is in the best long-term interest of Linde AG shareholders," Norges Banks Investment Management (NBIM), which manages the fund, said in a statement.

    Linde, Praxair get second antitrust request from FTC

    Linde and Praxair said late on Monday they were responding to a second request from the U.S. Federal Trade Commission regarding their planned $74 billion merger and were in a pre-notification phase with the European Commission. "This is a typical step in review of a transaction of this size, and was expected," Linde said of the second request from the FTC. The deal will create a global leader to overtake France's Air Liquide with a combined market value of $74 billion, revenue of $28.7 billion and 88,000 staff.

    The leadership of German industrial gases group Linde on Monday urged shareholders to accept a proposed $74 billion merger with U.S. peer Praxair. "The Executive Board and the majority in the Supervisory Board are of the opinion that the business combination is in the best interest of Linde AG, its shareholders and other stakeholders," Linde said in a statement.     The planned $74 billion merger of German industrial gases group Linde and U.S. peer Praxair is on course, with regulators expected to finish reviewing offer documents by mid-August, Linde said as it published financial results on Friday. "We remain on track to complete these tasks and expect to close the transaction by the second half of next year," Linde Chief Financial Officer Sven Schneider told analysts during a conference call but was otherwise tight-lipped on what progress preparations for the transaction were making.
