Morgan Stanley Emerging Markets Fund, Inc. (MSF) (the “Fund”) announced today that the net asset value per share of the Fund for purposes of calculating the number of Class I shares of common stock of Emerging Markets Portfolio (“MSIF Emerging Markets”), a series of Morgan Stanley Institutional Fund, Inc., that stockholders of the Fund will receive in exchange for the transfer of substantially all of the assets and liabilities of the Fund was $16.7706 as of the close of business on February 22, 2019 (the “Effective Date”).

(MSF) (the “Fund”) is pleased to announce that its stockholders, at the Fund’s Special Meeting of Stockholders held on January 7, 2019, approved the reorganization (the “Reorganization”) of the Fund into the Emerging Markets Portfolio (“MSIF Emerging Markets”).
