    TSX Venture: PTK), a designer, developer and manufacturer of optoelectronic devices, including light sources, passive waveguides, and Photonic Integrated Circuits (PICs) for the data- and tele-communication markets, today announced that it has signed a definitive agreement with respect to its previously announced sale of its wholly-owned Singapore-based subsidiary, DenseLight Semiconductors, Pte. Ltd. (“DenseLight”). In connection with the sale, which requires approval from the Company’s shareholders, POET has posted the Share Sale Agreement (“SSA”) on SEDAR (www.sedar.com) and published a Management Information Circular (“Circular”) for the Annual and Special Meeting of the Shareholders (the “Meeting”), set for September 20, 2019, via the TSX Trust website (http://docs.tsxtrust.com/2042).

    POET Technologies Inc. (“POET” or the “Company”) is pleased to announce that it has closed a fourth tranche offering of its previously announced 12.0% convertible unsecured debentures (the “Convertible Debentures”), brokered by the Company’s financial advisor IBK Capital. The Company raised gross proceeds of C$550,000 through the fourth tranche closing and, together with the approximately C$4.3 million raised from the first, second and third tranche closings on April 4, May 3, and June 3, 2019, respectively, the Company has now raised approximately C$4.9 million gross of Convertible Debentures. Proceeds from the fourth tranche of Convertible Debentures are expected to be used to fund operations pending the completion of the Company’s previously announced sale of its subsidiary DenseLight Semiconductors Pte Ltd., expected in October 2019.

    A revised notice of the meeting date, now set for September 20, 2019 has been provided to the relevant intermediaries by TSX Trust, the Company’s transfer agent.  The extension of the meeting date is intended to allow the Company and the buyer of POET’s DenseLight subsidiary the time to secure all necessary internal approvals, except the required approval of POET’s shareholders. The record date for the Meeting (the date on which those holding POET’s common stock as of the close of business will be entitled to vote in person or by proxy at the Meeting) has also been changed to August 9, 2019.  The Meeting will be held at 10:00am Eastern Time at Vantage Venues 150 King Street West, 27th Floor, Toronto, Ontario, on Friday, September 20, 2019.  Representatives of the buyer of DenseLight intend to be present at the Meeting.
