Thin Film Electronics ASA, (“Thinfilm”), the global leader in near field communications (NFC) solutions, is making a change to its senior leadership team. As part of the restructuring of the company to support its new strategy, Thinfilm has become increasingly based in San Jose, CA. As part of these changes, Chief Financial Officer, Ole R. Thornes, will step down as CFO and transition into an advisory role. Reference is made to the stock exchange release by Thin Film Electronics ASA ("Thin Film" or the "Company") on 17 June 2019 regarding a contemplated private placement targeting to raise up to the NOK equivalent of USD 16 million by issuing new shares in the Company. Reference is made to the stock exchange notice published earlier today regarding the contemplated private placement. Subject to successful completion of the Private Placement, the Board of Directors may carry out a subsequent offering of new shares in the Company directed towards shareholders in the Company who were not allocated Offer Shares in the Private Placement and who are not resident in a jurisdiction where such offering would be unlawful or, for jurisdictions other than Norway, would require any prospectus, filing, registration or similar action. The subscription price in such subsequent offering will be the same as the subscription price in the Private Placement.
The net proceeds from the Private Placement, combined with sales proceeds the Company targets to realise from the roll-to-roll printed dopant polysilicon (PDPS) facility in 2019, are intended to fully fund the Company until cash break-even in 2021.
The board of directors of Thin Film Electronics ASA ("Thinfilm") resolved on 28 May 2019 to grant a total of 1,500,000 incentive subscription rights ("SRs") to one new employee in Thinfilm. On the same date, the Annual General Meeting in Thinfilm resolved to grant a total of 12,000,000 SRs to two new board members of Thinfilm. The grants were made under Thinfilm`s 2019 Subscription Rights Incentive Plan as resolved at Thinfilm`s Annual General Meeting on 28 May 2019. The exercise price of the SRs is NOK 0.15 per share.
