    Virtu Financial, Inc. (VIRT) (the “Company”) a leading provider of financial services and products that leverages cutting edge technology to deliver liquidity to the global markets and provide execution services and data, analytics and connectivity products, today announced that its subsidiaries commenced marketing of a $525.0 million senior secured first lien term loan (the “Term Loan”) due in 2026. The proceeds of the Term Loan will be used to redeem the senior secured second lien notes due 2022 (the “Existing Notes”) of VFH Parent LLC and Orchestra Co-Issuer, Inc. (together, the “Issuers”).

    Virtu names Brett Fairclough COO, says Alex Ioffe will be CFO

    Virtu Financial Inc. said Wednesday it has appointed Brett Fairclough to the role of chief operating officer and global head of business development. Fairclough has worked at the company since 2007 and led Asia Pacific operations for he last five years. The financial services company said Alex Ioffe will be joining the company as chief financial officer, replacing Joseph Molluso, who is leaving the company. Ioffe was most recently chief financial officer of the U.S. broker-dealer subsidiary of Interactive Brokers Group, Inc. He has also done stints at Datek and Bertelsman, as well as an IT consultant at Accenture. The company said Marc Rosenthal is joining the executive team as executive vice president of strategy and corporate development after a more than 22-year career at Morgan Stanley. Hyungtaek Kim has been promoted to chief accounting officer. Kim has worked at the company since 2011. Shares were not yet active premarket, but have fallen 27% in 2019, while the S&P 500 has gained 16%.

    The fight between brokers and exchanges around fees and access to trading information has moved from stock exchange floors to data centre rooftops. A move by the New York Stock Exchange to install microwave equipment on the roof of its data centre to speed up data transmissions is "anti-competitive" and could result in higher trading costs, trading firm Virtu Financial said in a letter to the U.S. Securities and Exchange Commission. Virtu opposed the NYSE's plan because it would allow only one wireless provider - chosen by the exchange - to locate an antenna on the rooftop of the exchange operator's Mahwah, New Jersey, data centre, due to "resource and engineering constraints," according to the letter, which was posted to the SEC's website on July 25.

    Virtu Financial, Inc. Announces Proposed Senior First Lien Notes Offering

    Virtu Financial, Inc. (VIRT) (the “Company” or “Virtu”) today announced that its subsidiaries, VFH Parent LLC and Orchestra Co-Issuer, Inc. (together, the “Issuers”), intend to offer $525.0 million (the “Offering”) aggregate principal amount of senior secured first lien notes due 2026 (the “Notes”).  The Notes, together with cash on hand, will be used to redeem the Issuers’ senior secured second lien notes due 2022 (the “Existing Notes”). The Issuers also delivered a Conditional Notice of Redemption to holders of their outstanding Existing Notes, which provides for the redemption (the “Redemption”) by the Issuers of all outstanding Existing Notes on July 26, 2019, subject to, among other things, the Issuers or their affiliates consummating a debt financing transaction in an amount of at least $525.0 million (the “Debt Financing”) and the Issuers having received funds in connection with the Debt Financing, together with cash on hand, sufficient to repurchase the Existing Notes.
