The $933 million deal to merge Chevy Chase marketplace WeddingWire Inc. with one of its biggest competitors, XO Group Inc. (NYSE: XOXO), will combine two of the largest players in the wedding services landscape. The deal would leave XO's brands, which include "The Knot" and "The Bump," operating independently of WeddingWire. In a statement, WeddingWire said the combined company would provide "innovative offerings" under the combined leadership of what would be a co-CEO team of Tim Chi and XO's Mike Steib.

Shares of The Knot parent XO Group Inc. ran up 23% in premarket trade Tuesday, after the company agreed to be acquired, and merge with WeddingWire, in a deal valued at $933 million. Under terms of the deal, XO shareholders will receive $35.00 shares in cash for each XO share they own, which is 26.6% above Monday's closing price of $27.64, and above the July 12 record closing price of $34.94. After closing, which is expected to occur in the first half of 2019, the combined company will be owned by current WeddingWire investors Permira Funds and Spectrum Equity. The combined company will maintain both brands. XO's stock has run up 50% year to date through Monday, while the S&P 500 has gained 9.2%.
