    Take note of the 5.2m shares short and that the company recently bought back shares at a price well above than the current share price. See also the large open interest in $125 put options expiring 21 Feb. Betting against this CEO, who has plenty of skin in the game and has run the company for 25 years (and now also has re-taken charge of Vistaprint himself) - may turn out like the shorting of Tesla - perhaps not quite as extreme as VW/Porsche, but the share price might really take off in February if the Xmas quarter is good or great - a major short squeeze is quite a realistic possibility in my view. It will be very interesting to see the results in a few hours and the action thereafter...

    This weekend, while performing due diligence on Cimpress N.V. (NASDAQ: CMPR), I noticed two SEC filings from this past Thursday, September 19th. Apparently Cimpress N.V. is planning to merger into Cimpress Limited (a private limited company incorporated under the laws of Ireland) with the surviving company name to be called Cimpress plc.
    According to the SEC Schedule 14A document, under the terms of the merger:
    1. The place of incorporation will change from The Netherlands to Ireland.
    2. The Cimpress group, with Cimpress plc as the parent company, will continue to conduct the same business operations as were conducted when Cimpress N.V. was the parent company and the ordinary shares of new merged company (Cimpress plc) will be listed on Nasdaq under the same trading symbol, “CMPR”
    3. In addition to approving the merger, the current Cimpress N.V. shareholders are being asked to approve (a) an amendment to the Cimpress plc Articles of Association and (b) “the creation of distributable profits of Cimpress plc under Irish law…”.

    Both SEC documents emphasize that “The number of shares (the Cimpress N.V. shareholders) will own in Cimpress plc … will be the same as the number of shares you held in Cimpress N.V … immediately prior to the completion of the transaction …”

    Section 3 of the SEC Form 8-K document describes the allocation and distribution of the newly-created Cimpress plc stock to Cimpress Limited (“The Successor Company”) and Cimpress N.V. (“The Transferor Company”). In spite of the fact that current Cimpress N.V. shareholders will receive the same number of Cimpress plc shares, the TOTAL NUMBER of outstanding shares will explode, resulting in a HUGE DILUTION for the current Cimpress N.V. shareholders. Based on my reading and understanding of these SEC documents, the proposed merger can’t possibly be good for current Cimpress N.V. stockholders (or the CMPR stock price). If I’ve missed or misunderstood something, please let me know but right now there’s no way I’ll invest in this train wreck.

    I guess they finally wised up after the stock cratered and let their CEO go (Trynka Shineman) who was probably the main cause for the company's decline. Unfortunately I think the permanent damage has been done.
