New Roxgold Team to Hold Shareholder Conference Call on Tuesday, September 4, 2012

VANCOUVER, BRITISH COLUMBIA--(Marketwire -08/30/12)- Mr. Brett Richards, the proposed incoming CEO of Roxgold Inc. ("Roxgold" or the "Company") (ROG.V) is pleased to announce that he along with Mr. Peter R. Jones, proposed Chairman and other director nominees of the Company will be holding a conference call with shareholders on Tuesday, September 4, 2012 at 11:00 a.m. (Vancouver time), being 2:00 p.m. (Toronto time).

The aim of the call is to allow shareholders to engage in a dialogue with the new Roxgold team and to answer any questions they have about the new plan for the Company.

In response to feedback received from shareholders, on August 23, 2012 the Company announced its strategic plans for a new direction at the Company while ensuring the required continuity. Mr. Brett Richards has been retained as a consultant in advance of his proposed appointment to the position of CEO following the annual general meeting of shareholders to be held on September 25, 2012 (the "Meeting"). Mr. Richards, Mr. Peter R. Jones, Mr. John L. Knowles and Mr. Gordon Pridham have been appointed to stand with existing director Mr. Richard Mazur as the Company's director nominees, with Mr. Jones standing as the proposed Chairman. Mr. Robert Sibthorpe, the Company's current CEO, has accepted the position of VP Exploration following the Meeting.

Mailing of Roxgold's information circular (the "Circular") has commenced and the Circular and other Meeting materials have been posted on SEDAR. Shareholders are encouraged to review the Circular and letter to shareholders in their entirety, including the new Roxgold team's plan for a winning future for the Company.

As of the date of this press release, the Company is still awaiting a response from dissident shareholder Mr. Oliver Lennox-King regarding his plans for the Company and his intention to file a dissident circular.

Mr. Richards continues to work with all stakeholders and members of Roxgold's geological team to advance the Company's Burkina Faso gold assets and build stronger shareholder value.
