Resonant Inc. Announces Signing of Securities Purchase Agreement to Raise Up to $9.3 Million in Gross Proceeds

GOLETA, CA--(Marketwired - September 26, 2017) - Resonant Inc. (RESN), a designer of filters for radio frequency, or RF, front-ends that specializes in delivering designs for difficult bands and complex requirements, today announced it has entered into a definitive agreement with various institutional and individual accredited investors to raise gross proceeds of approximately $9.3 million in a private placement of units at a per-unit price of $4.70 (the Offering).

Each unit consists of one share of the Company's common stock, par value $0.001 per share (Common Stock), and one warrant to purchase one share of Common Stock at an exercise price of $4.85 per share, exercisable for a period commencing six months and ending three years from the date of the closing of the Offering.

The Offering is expected to close on or prior to September 29, 2017, subject to satisfaction of customary closing conditions. Details of the Offering will be included in a Current Report on Form 8-K filed shortly after closing.

Resonant believes it is transforming the filter market through its customer engagement strategy. The Company began by focusing on filter and module companies; in the past six months, however, it has added two additional customer categories (fabless filter companies and pure-play foundries), thereby creating a potential disruptive force in a supply chain that has traditionally been dominated by a few key players.
