CRS Electronics Announces Proposed $2 Million Private Placement

TORONTO, ONTARIO--(Marketwired - July 8, 2014) - CRS Electronics Inc. ("CRS" or the "Company") (TSX VENTURE:LED), a developer and manufacturer of LED lighting products, is pleased to announce that it intends to undertake a non-brokered private placement of up to 13,400,000 units of the Company (the "Units") at an offering price of $0.15 per Unit for gross proceeds to the Company of up to approximately $2,010,000 (the "Offering"). Canaccord Genuity Corp. ("Canaccord") is assisting with the Offering and is entitled to receive a cash commission equal to 6% of the total proceeds raised under the Offering and compensation options equal to 6% of the total number of Units sold under the Offering. Each compensation option entitles Canaccord to purchase one common share of the Company at a price of $0.15 per compensation option until 24 months after the closing date of the Offering.

Each Unit will be comprised of one common share of the Company and one common share purchase warrant. Each warrant will entitle the holder thereof to purchase one common share of the Company at a price of $0.20 for a period of 24 months following the closing date of the Offering. If the closing price of the common shares of the Company on the TSX Venture Exchange is $0.30 or above for 20 consecutive trading days, the Company will have the right to accelerate the expiry date of the warrants upon notice to the holders.

The net proceeds from the Offering will be used for general corporate and working capital purposes.

Closing of the Offering is anticipated to occur on or about July 28, 2014 and will be conditional upon, among other things, the receipt of all necessary regulatory approvals. All securities issued pursuant to this Offering are subject to a four month hold period from the closing date.
