We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we’d be remiss not to mention that insider sales have been known to precede tough periods for a business. So we’ll take a look at whether insiders have been buying or selling shares in Daily Journal Corporation (NASDAQ:DJCO).

What Is Insider Buying?

It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, such insiders must disclose their trading activities, and not trade on inside information.

Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. For example, a Harvard University study found that ‘insider purchases earn abnormal returns of more than 6% per year.’

The Last 12 Months Of Insider Transactions At Daily Journal

Vice Chairman of the Board J. Guerin made the biggest insider sale in the last 12 months. That single transaction was for US$670k worth of shares at a price of US$240 each. So we know that an insider sold shares at around the present share price of US$226. While their view may have changed since the sale, this is not a particularly positive fact. Arguably, insider selling at around current prices should give us reason to reflect on whether the stock is fully valued at the moment. The only individual insider seller over the last year was J. Guerin.

J. Guerin ditched 12.98k shares over the year. The average price per share was US$232. The chart below shows insider transactions (by individuals) over the last year. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. It appears that Daily Journal insiders own 28% of the company, worth about US$88m. While this is a strong but not outstanding level of insider ownership, it’s enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At Daily Journal Tell Us?

There haven’t been any insider transactions in the last three months — that doesn’t mean much. We don’t take much encouragement from the transactions by Daily Journal insiders. The modest level of insider ownership is, at least, some comfort. Along with insider transactions, I recommend checking if Daily Journal is growing revenue. This free chart of historic revenue and earnings should make that easy.
